XXXChatNow.com Model/Performer Agreement

Between:

OmniQuest Media Inc., operating as XXXChatNow.com (“the Company”)

and

____________________________________________________________________

(THe Model”)

1. Parties and Acknowledgement

This Agreement is entered into between the Company, a corporation organized under the laws of Ontario, Canada, and the Model, an individual who wishes to perform and/or broadcast on the platform xxxchatnow.com.

By signing below, the Model confirms that they have read, understood, and agreed to the terms of this Agreement.

2. Eligibility and Verification

The Model affirms that:

They are at least 18 years of age (or the age of majority in their jurisdiction, whichever is greater).
They will provide valid government-issued identification for verification.
They are acting voluntarily and of their own free will.
They are legally permitted to create and distribute adult content in their jurisdiction.

All personal information provided (name, date of birth, address, and payment details) must be true and complete.

3. Independent Contractor Status

The Model is an independent contractor, not an employee, partner, or agent of the Company.

The Model is responsible for:

Reporting and paying all taxes and government fees.
Maintaining any required business, tax, or performer registrations.
Ensuring compliance with all laws applicable to their activity

Nothing in this Agreement shall be construed as creating an employer–employee relationship.

4. Services and Conduct

The Model agrees to:

Create, perform, and broadcast lawful live or recorded adult content via xxxchatnow.com.
Follow all applicable laws, community guidelines, and the Company’s platform rules.
Refrain from content involving minors, animals, violence, or non-consensual acts.
Avoid sharing personal contact information or soliciting users for off-platform payments.

The Company may remove or suspend content that violates any of these provisions.

5. Revenue Share and Payouts

The Model shall receive 70% (seventy percent) of gross revenue generated from their content, shows, and tips.
The Company shall retain 30% (thirty percent) as its commission.
Regular payouts are issued every two (2) weeks
A Model may request an early payout at any time, subject to a $75 USD processing fee, deducted from the payout total.
Payouts are made through approved payment processors (e-transfer, wire, or equivalent).

6. Content Ownership and License

The Model retains full ownership of their likeness and performance.
By broadcasting or uploading on xxxchatnow.com, the Model grants the Company a non-exclusive, worldwide, royalty-free license to display, distribute, promote, and archive the content while it remains active on the platform.
The Company may use stills or short clips for promotional and marketing purposes (unless the Model opts out in writing).
Upon termination, the license ends, except for residual backups or legal compliance storage.

7. Non-Exclusivity

The Model’s participation with xxxchatnow.com is non-exclusive.

The Model may perform, stream, or post on other websites or platforms, provided that:

Such participation does not breach this Agreement or violate any applicable law.
The Model does not use or distribute Company-branded materials or confidential information elsewhere without written consent.
The Model is responsible for managing their schedule and content distribution independently.

8. Promotion & Marketing

The Company may, at its discretion:

Feature or promote the Model on the xxxchatnow.com homepage, social media, or advertising campaigns.
Use performer images, usernames, or brief excerpts of content for promotional purposes.
The Model may request exclusion from public marketing by submitting a written opt-out notice to general@XXXChatNow.com

9. Suspension for Compliance Review

The Company reserves the right to suspend or restrict the Model’s account if:

There is a pending verification issue (e.g., missing or invalid identification).
The Model is under investigation for suspected rule violations, chargebacks, or illegal activity.
External legal authorities request review or investigation.

During suspension, payouts may be temporarily withheld until the review is complete.

If the issue is resolved, the account will be reinstated and pending funds released.

If the issue results in termination, final payout will follow within the next scheduled period, minus any confirmed chargebacks or penalties.

10. Account Termination

Either party may terminate this Agreement at any time with written notice.

Upon termination:

The Company will stop displaying new Model content.
Final payout will occur during the next regular pay cycle.
Existing archived materials may remain for legal or backup purposes only.

11. Confidentiality and Privacy

Both parties agree to protect confidential information and private communications.

The Model must not publicly share internal business data, payout metrics, or user information.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Ontario, Canada.

Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

Both parties consent to this jurisdiction and venue.

13. Entire Agreement

This Agreement represents the complete understanding between the parties.

Any modification must be in writing and signed by both parties.

If any provision is found unenforceable, the remaining clauses shall remain in effect.

14. Acknowledgements and Agreements

16. Submission Instructions

Print or save this completed Agreement as a PDF file.
Attach a clear scan or photo of a government-issued photo ID showing:

- Face clearly visible

- Full legal name

- Date of birth

- Country or place of issue

Examples: driver’s licence, passport, or visa.

Retain a personal copy for your own records.
